That description of "non-IETF protocol" is an IESG note.  I don't think
it's exactly hard and fast that there's no impact by IESG comments.
We put the note there in order to distinguish between MGCP and our own
competing protocol, MEGACO.  So there's no need for the "no derivative
works" clause but maybe the IESG note should be re-worded to not lead
you to think of the document the wrong way.
