I believe the draft MoU talks about "IETF leadership",
which consists of at least the IETF and IAB Chairs. Sometimes
the IESG.  Reconciling all of these, and/or making sure this

should be stated that there are more people involved
in these discussions.

If this is documenting current reality, delete "and the IAB".
As it currently stands, the IAB is not participating (they
got the news re. Steve, for eg), and I argue the whole IAB
is not sufficiently informed to be participating (giving
advice & concent). I'm not really sure it *should*, either.

But, agree that IAB Chair and perhaps ISOC VP Stds should
probably be added (to reflect current reality).

2. The composition of the IESG

   The IESG has the following members:

   o  The IETF Chair, who may also function as an Area Director when
      appropriate

   o  The Area Directors for the IETF Areas

   o  The IAB Chair and the IETF Executive Director, as ex-officio
      members of the IESG.

Is this current reality, re. IAB Chair?  The IAB charter
(RFC2850) says the IAB Chair is a liaison to the IESG.  It's
not clear that needs to be inconsistent.

I'll admit to a little confusion on my part, even after
a year :-)  I think ex officio is probably appropriate.

7.2 Process management

   The IESG is responsible for making sure the IETF process is
   functional in all aspects.  This includes taking responsibility for
   initiating consideration of updates to the process when required, as
   well as addressing obvious miscarriages of process even when they do
   not fall into the categories described above.

The IAB has a role in here, as well. RFC2850:

"2. The Role of the IAB

The IAB is chartered both as a committee of the IETF and as an
advisory body of the Internet Society. Its responsibilities include:

[snip]

(c) Standards Process Oversight and Appeal

The IAB provides oversight of the process used to create Internet
Standards [BCP 9].

The IAB serves as an appeal board for complaints of improper
execution of the standards process, with powers defined in [BCP 9]."


Perhaps

has a process oversight role, as defined in Section 2, (c) of
RFC2850), the IESG will from time to tome initiate consideration of updates to the process, as
well as addressing obvious miscarriages of process even when they do
not fall into the categories described above."
